SINIMAX AGREEMENT & TERMS OF SERVICE

This **Terms of Service** (“Terms”) constitute a legally binding agreement between **Sinimax Limited**, a company incorporated under the laws of the Federal Republic of Nigeria, with its registered office at **10, Olabode Adaleke, Brigdgate Estate, Agungi, Lekki, Lagos, Nigeria** (“**Sinimax**”, “**we**”, “**us**”, or “**our**”) and **you** (“**you**” or “**user**” or “**subscriber**”). The Terms govern your use of the **Sinimax** on-demand streaming service, websites, applications, and all other services or products offered by **Sinimax** (collectively, the “**Platform**”).
By accessing or using the **Platform**, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our **Privacy Policy** and **Copyright & Content Policy** (which are incorporated by reference).

1. ELIGIBILITY

1.1. You must be at least **18 years old** and capable of entering into a legally binding contract under Nigerian law to use the Platform.
1.2. By using the Platform, you represent and warrant that you meet these requirements.

2. ACCOUNT REGISTRATION AND SECURITY

2.1. To access certain features, you may be required to create an account and provide accurate information such as your name, email address, phone number, and payment details.
2.2. You are responsible for maintaining the confidentiality of your account login credentials, including your password.
2.3. You agree to immediately notify Sinimax of any unauthorized use of your account or security breach. You are responsible for the security of your credentials.
2.4. You are prohibited from having more than one active account on the Platform.

3. SERVICES OFFERED

3.1. Sinimax provides an on-demand streaming service offering access to licensed Nollywood films, television content, and related media, as well as user interaction features (e.g., reviews, chat, comments).
3.2. You understand and agree that the availability of content may vary by location, subscription plan, and may change or be removed at any time due to licensing restrictions.
3.3. Sinimax may modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

4. LICENSE AND RESTRICTIONS

4.1. Subject to compliance with these Terms, Sinimax grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial entertainment purposes.
4.2. You may not:
• Copy, reproduce, record, or redistribute any content from the Platform;
• Circumvent any digital rights management or security measure;
• Resell or alter the Platform functionality;
• Use the Platform in a manner that is illegal or attempts to interact with the Platform.
4.3. All content remains the exclusive property of Sinimax or its licensors.

5. USER-GENERATED CONTENT

5.1. The Platform may allow you to post comments, reviews, or participate in community features such as “short talk” or “series watch log”.
5.2. By posting or sharing content, you grant Sinimax a worldwide, perpetual, royalty-free, transferable, and sublicensable license to use, host, display, modify, and distribute your content for purposes of operating and promoting the Platform.
5.3. You warrant that you own or have the necessary rights to post or share any material that is unlawful, defamatory, obscene, harassing, or infringing on third-party rights.
5.4. Sinimax reserves the right to moderate, remove, or restrict access to user content that violates these Terms or is unlawful and without notice.

6. SUBSCRIPTIONS, PAYMENTS, AND ADVERTISING

6.1. Subscription fees, payment terms, and renewal conditions are governed by the Sinimax Subscription, Payment & Refund Policy.
6.2. You agree to pay all charges, including applicable taxes, incurred by you or anyone using your account.
6.3. Sinimax reserves the right to modify its pricing and subscription plans at any time.

7. INTELLECTUAL PROPERTY

7.1. All materials on the Platform including films, video clips, artwork, trademarks, logos, user interface designs, and software are the exclusive property of Sinimax or its licensors.
7.2. The names “Sinimax”, its logos, and other brand identifiers are trademarks owned by Sinimax.
7.3. You shall not copy, modify, rent, sell, assign, distribute, or create derivative works based on the Platform.

8. THIRD-PARTY LINKS AND SERVICES

8.1. The Platform may contain links to third-party websites or services. Sinimax does not control or endorse such services and shall not be responsible for their content, privacy practices, or operations.
8.2. Your use of such services is at your own risk.

9. TERMINATION

9.1. Sinimax may, at its discretion, suspend or terminate your account and access to the Platform for:
• Breach of these Terms or any applicable law;
• Failure to pay subscription fees when due;
• Engagement in fraudulent or illegal activity;
• Technical or operational reasons.
9.2. A material breach of these Terms will terminate the Platform access immediately.

10. DISCLAIMERS

10.1. The Platform is provided on an “as is” and “as available” basis, without warranties of any kind.
10.2. Sinimax does not guarantee uninterrupted or error-free operation, or that the Platform will meet your expectations.
10.3. Sinimax expressly disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement.

11. LIMITATION OF LIABILITY

11.1. To the maximum extent permitted by law, Sinimax, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your access to or use of the Platform.
11.2. In no event shall Sinimax’s total aggregate liability exceed the subscription fees paid by you in the 12 months preceding the claim.

12. INDEMNITY

You agree to indemnify and hold Sinimax, its officers, employees, and affiliates harmless from any claims, losses, damages, liabilities, or expenses (including legal fees) arising from your:
• Use of the Platform;
• Breach of these Terms; or
• Violation of any third-party rights.

13. DISPUTE RESOLUTION AND GOVERNING LAW

13.1. These Terms shall be governed by the laws of the Federal Republic of Nigeria.
13.2. Parties shall first attempt to resolve disputes amicably within **30 days** of written notice.
13.3. Any unresolved dispute shall be submitted to the competent courts of competent jurisdiction in Lagos State, Nigeria.

14. CHANGES TO TERMS

Sinimax may revise these Terms periodically. Updates will be posted on the Platform with a new **“Last Updated”** date. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
